Terms of Service

Please read these terms carefully before using the Smart US SBA platform.

1. Introduction

These Terms of Service ("Terms") govern access to and use of Smart US SBA (the "Platform," "Service," "we," "us," or "our"), a school assessment, reporting, and communication system operated by Kings Technologies ("Kings Technologies," "Company"), based in Accra, Ghana.

By creating an account, signing up a school, or otherwise using the Platform, you ("School," "User," "you") agree to be bound by these Terms. If you do not agree, do not use the Service.

The Platform is intended for use by schools (Basic 1 through Senior High School, public and private) located primarily in Ghana, along with their staff, students, and parents/guardians who access features made available to them by the School.

2. Description of Service

Smart US SBA provides, among other things:

  • Generation of student assessment (SBA) reports, terminal reports, mock exam reports, and class test reports
  • Score entry via web browser, Progressive Web App (PWA), Excel bulk import, and Telegram bot
  • Delivery of report cards and results to parents/guardians via WhatsApp and SMS, including secure time-limited links
  • Student and parent portal access to historical academic records
  • SMS broadcast and announcement tools for schools
  • Offline score entry with automatic sync when connectivity resumes
  • Data export of student records, scores, and reports in PDF and spreadsheet formats
  • A partner program for Municipal Directors and Exam Consortiums to onboard schools

We may add, modify, or remove features at our discretion, with reasonable notice for material changes affecting core functionality.

3. Accounts and Eligibility

3.1. A School must designate at least one authorized administrator to create and manage the School's account. That administrator is responsible for managing staff, teacher, and student access within the Platform.

3.2. You must provide accurate information when registering a School, staff member, or student account, and keep that information up to date.

3.3. Accounts are intended for use by the School and its authorized staff, students, and parents/guardians. Schools are responsible for ensuring that only authorized individuals are granted access, and for any activity that occurs under credentials issued to their staff or students.

3.4. You must be legally authorized to act on behalf of the School you register (e.g., head teacher, proprietor, administrator, or designated ICT coordinator).

4. Subscriptions, Trials, and Payment

4.1. Free Trial. New Schools receive one free trial term with full feature access, as described on the Platform at signup.

4.2. Pricing. After the trial, Schools are billed on a per-term basis according to the number of active classes run that term, as communicated at the time of subscription or renewal. There are no setup fees or long-term contracts unless separately agreed in writing.

4.3. Payment Processing. Payments are processed through third-party payment processors (including Paystack). By making a payment, you agree to the applicable payment processor's terms in addition to these Terms. We do not store your full payment card details.

4.4. Cancellation. Schools may cancel at any time. Cancellation takes effect at the end of the current paid term; we do not provide partial-term refunds except where required by law or at our discretion.

4.5. Non-Payment. We may suspend or restrict access to a School's account if fees for a term remain unpaid after reasonable notice, but Schools retain the ability to export their data as described in Section 8 even during a suspension period, for a reasonable window of time.

4.6. Partner Program. Partners (e.g., Municipal Directors, Exam Consortiums) who onboard Schools under the Partner & Earn program are subject to separate partner terms provided at the time of registration, including how recurring rewards are calculated and paid.

5. Acceptable Use

You agree not to:

  • Use the Platform to upload, transmit, or store unlawful, defamatory, or fraudulent content
  • Attempt to access another School's data, accounts, or reports without authorization
  • Circumvent or interfere with the Platform's security, rate limits, or isolation between School accounts
  • Use automated means (bots, scrapers) to access the Platform outside of the officially provided Telegram bot and integrations
  • Misuse the WhatsApp/SMS delivery features to send unsolicited messages unrelated to legitimate school communication
  • Resell or sublicense the Platform without our prior written consent, outside of the official Partner Program
  • Reverse-engineer, decompile, or attempt to extract the source code of the Platform, except as permitted by law

We reserve the right to suspend or terminate accounts that violate this section.

6. Student and School Data

6.1. Each School's data (students, scores, reports, staff records) is logically isolated from other Schools. No School can access another School's data through normal use of the Platform.

6.2. Schools remain the data controller for the student and parent information they input into the Platform. Kings Technologies acts as a data processor providing the technical infrastructure to store, generate, and transmit that data as instructed by the School. See our Privacy Policy for details on how we handle personal data.

6.3. Schools are responsible for obtaining any consents required from parents/guardians and students for their information to be processed and communicated via the Platform (e.g., WhatsApp/SMS delivery of reports), in line with applicable data protection law.

7. Availability and Support

7.1. We aim to provide reliable uptime but do not guarantee uninterrupted or error-free service. Scheduled maintenance will be communicated where practical.

7.2. Offline mode allows continued score entry during connectivity loss; data syncs automatically once the device reconnects. We are not liable for data entered offline that is lost due to device failure prior to sync.

7.3. Support is provided via the contact channels listed on the Platform (WhatsApp, phone, and contact form).

8. Data Export and Termination

8.1. Schools may export their student records, scores, and reports (PDF and spreadsheet formats) at any time while their subscription is active, and for a reasonable period after cancellation or termination.

8.2. Upon prolonged inactivity or account termination, we may archive or delete School data after providing reasonable notice, except where retention is required by law.

8.3. We may suspend or terminate a School's account for violation of these Terms, non-payment, or fraudulent/unlawful use, with notice where practicable.

9. Intellectual Property

The Platform, including its software, design, branding, and underlying technology, is owned by Kings Technologies. Schools retain ownership of the student and academic data they input. Report designs customized with a School's crest, colors, or branding remain the School's intellectual property for their own use.

10. Disclaimers and Limitation of Liability

10.1. The Platform is provided "as is" without warranties of any kind, express or implied, except as required by applicable law.

10.2. To the maximum extent permitted by law, Kings Technologies shall not be liable for indirect, incidental, or consequential damages arising from use of the Platform, including but not limited to loss of data, loss of revenue, or delivery failures of third-party channels (WhatsApp, SMS, Telegram) outside our control.

10.3. Our total liability for any claim arising from these Terms or use of the Platform shall not exceed the fees paid by the affected School in the term in which the claim arose.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the Platform or by email/WhatsApp to the School's registered administrator. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the Republic of Ghana. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ghana, unless otherwise required by applicable law.
